LEGAL NOTICE: These Terms of Service govern your use of this website only. This website operates solely as an affiliate referral platform and does not sell, manufacture, warehouse, or fulfill any products or services directly. By accessing or using this website, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Parties and Acceptance of Terms

These Terms of Service ("Agreement") constitute a legally binding agreement between DirectoryJuice Inc. ("Company," "we," "us," or "our"), a corporation operating in Hope, British Columbia, Canada, and you ("User," "you," or "your") as a visitor to this website.

By accessing or using this website in any manner — including browsing, clicking affiliate links, or engaging with any content — you acknowledge that you have read, understood, and agree to be bound by this Agreement and all applicable laws and regulations.

This Agreement is governed by the laws of British Columbia and the laws of Canada applicable therein, including the Personal Information Protection Act (British Columbia) S.B.C. 2003, c. 63 ("PIPA") and the federal Personal Information Protection and Electronic Documents Act ("PIPEDA") where applicable to cross-border data flows.

2. Nature of This Website — Affiliate Referral Only

DirectoryJuice Inc. operates exclusively as an affiliate referral website ("Site"). This means:

We do not sell, manufacture, distribute, warehouse, ship, or fulfill any products or services.

We earn referral commissions from third-party merchants and vendors ("Merchants") when users click our affiliate links and complete qualifying purchases or actions on the Merchant's platform.

Our commissions may be tracked through affiliate links, coupon codes, discount offers, or other tracking mechanisms provided by or associated with our affiliate accounts.

All transactions, product descriptions, warranties, fulfillment, returns, refunds, and customer service are the sole responsibility of the respective Merchant, not DirectoryJuice Inc.

IMPORTANT: Any purchase you make through an affiliate link on this Site is a direct transaction between you and the applicable Merchant. DirectoryJuice Inc. is not a party to that transaction and accepts no liability arising from it.

3. Mandatory Affiliate Disclosure

In accordance with the Federal Trade Commission (FTC) Endorsement Guides (16 C.F.R. Part 255) and applicable Canadian advertising standards, we disclose the following:

DirectoryJuice Inc. participates in affiliate marketing programs. We earn commissions when users purchase products or services through links or coupon codes on this Site.

Compensation may include: per-sale commissions, per-click fees, flat referral fees, coupon-tracked commissions, or other forms of remuneration from Merchants.

Our affiliate relationship with a Merchant does not affect our obligation to provide honest and accurate information. We endeavour to only promote products or services we believe may be of genuine value.

Third-party product claims, descriptions, testimonials, and specifications are sourced from respective Merchants and have not been independently verified by DirectoryJuice Inc.

4. Limitation of Liability

4.1 General Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF BRITISH COLUMBIA AND CANADA, DIRECTORYJUICE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM:

Your use of, or inability to use, this Site or any content thereon;

Any product or service purchased through an affiliate link or coupon code featured on this Site;

Any product claims, representations, warranties, or guarantees made by third-party Merchants;

Product performance, safety, suitability, or fitness for any particular purpose;

Any errors, omissions, or inaccuracies in third-party content displayed on this Site;

Unauthorized access to or alteration of your data.

4.2 Product and Safety Claims Disclaimer

This Site may feature products that make safety, health, fire protection, emergency preparedness, or similar performance claims. DirectoryJuice Inc. makes no independent representation or warranty with respect to such claims. All product performance claims are the sole representations of the respective Merchant. Users should:

Conduct their own due diligence before relying on any product for safety-critical applications;

Follow all manufacturer instructions and safety guidelines;

Consult qualified professionals where appropriate;

Not rely on any product as a substitute for following emergency services guidance, evacuation orders, or official safety protocols.

4.3 Cap on Liability

If, notwithstanding the above, DirectoryJuice Inc. is found liable to you for any reason, our total aggregate liability shall not exceed the greater of: (a) the amount of any commission we actually received attributable to your specific transaction, or (b) CAD $100.00.

5. Privacy and Personal Information — PIPA Compliance

5.1 Our Commitment

DirectoryJuice Inc. is committed to protecting your personal information in accordance with British Columbia's Personal Information Protection Act (PIPA). Because this Site operates as an affiliate referral platform only, we collect very limited personal information.

5.2 Information We Collect

We may collect the following limited categories of information:

Automatically collected technical data: IP address, browser type, referring URL, pages visited, and session duration, collected via standard web server logs and analytics tools for the purpose of website administration and traffic analysis.

Voluntarily submitted contact information: If you choose to contact us via email or a contact form, we may retain your name and email address solely to respond to your inquiry.

Affiliate tracking data: Click data and coupon usage data transmitted to and from Merchant affiliate platforms. This data is governed by the respective Merchant's privacy policy.

5.3 What We Do NOT Collect

We do not collect, store, or process:

Payment card information or financial data;

Government-issued identification;

Health information;

Sensitive personal information beyond what is described above.

5.4 Consent and Use

Consistent with PIPA, we collect personal information only for reasonable and identified purposes, and with your knowledge and consent (which may be implied through your use of this Site for technical data). We do not sell, rent, trade, or share your personal information with third parties except:

With affiliate network platforms and Merchants, to the extent necessary to track referrals and process commissions (these parties have their own privacy obligations);

With service providers who assist in operating this Site (e.g., web hosting, analytics), who are required to protect your information;

If required by law, court order, or governmental authority;

To protect the rights, property, or safety of DirectoryJuice Inc. or others.

5.5 Data Retention and Destruction

Consistent with PIPA, we retain personal information only as long as necessary for the identified purpose or as required by law, after which it is securely destroyed or de-identified.

5.6 Cross-Border Data Transfers

Some of our affiliate platforms and service providers may be located outside British Columbia or Canada, including in the United States. When personal information is transferred outside B.C., we take reasonable steps to ensure comparable protection, though such information may be subject to the laws of the jurisdiction in which it is held. By using this Site, you consent to such transfer.

5.7 Your Privacy Rights

Under PIPA, you have the right to:

Request access to personal information we hold about you;

Request correction of inaccurate personal information;

Withdraw consent for the collection, use, or disclosure of your personal information (subject to legal and contractual restrictions);

Lodge a complaint with the Office of the Information and Privacy Commissioner for British Columbia (OIPC BC) at oipc.bc.ca.

6. Third-Party Links and Merchant Responsibility

This Site contains affiliate links to third-party websites and Merchant platforms. DirectoryJuice Inc.:

Has no control over the content, policies, practices, or availability of third-party websites;

Assumes no responsibility for the products, services, claims, warranties, customer service, shipping, returns, or refunds provided by Merchants;

Makes no representation that any Merchant's products are safe, effective, suitable, or fit for any particular purpose;

Strongly encourages users to read the terms of service and privacy policy of any Merchant before making a purchase.

Your use of third-party sites and your transactions with Merchants are governed solely by those Merchants' own agreements. Any dispute you have with a Merchant must be resolved directly with that Merchant.

7. Intellectual Property

All original content on this Site, including text, graphics, logos, and layout, is owned by or licensed to DirectoryJuice Inc. and is protected by Canadian copyright law and applicable international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content on this Site without our prior written permission.

Product images, names, trademarks, and descriptions appearing on this Site in connection with affiliate offerings are the property of the respective Merchant or their suppliers and are used in accordance with applicable affiliate agreements.

8. Disclaimer of Warranties

THIS SITE AND ALL CONTENT, INFORMATION, AND AFFILIATE LINKS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY AFFILIATE LINK WILL FUNCTION AS EXPECTED; OR (D) ANY THIRD-PARTY PRODUCT OR SERVICE WILL PERFORM AS DESCRIBED BY THE MERCHANT.

9. Indemnification

You agree to indemnify, defend, and hold harmless DirectoryJuice Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of this Site; (b) your violation of these Terms; (c) any transaction you enter into with a Merchant; or (d) your violation of any rights of a third party.

10. Termination of Access

We reserve the right, at our sole discretion, to terminate or suspend your access to this Site at any time, with or without cause and without notice. All provisions of this Agreement that by their nature should survive termination will survive, including, without limitation, intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein, without regard to principles of conflicts of law.

Any dispute arising from or relating to this Agreement or your use of this Site shall be subject to the exclusive jurisdiction of the courts of British Columbia, sitting in the Province of British Columbia. You consent to the personal jurisdiction of such courts.

For disputes of less than CAD $35,000, the parties agree to first attempt resolution through good-faith negotiation, and if unresolved, through the British Columbia Civil Resolution Tribunal ("CRT") where applicable, before proceeding to court.

12. Changes to This Agreement

We reserve the right to modify these Terms of Service at any time by posting updated terms on this Site with a revised Effective Date. It is your responsibility to review this Agreement periodically. Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms. If you do not agree to any modification, discontinue your use of the Site immediately.

13. Severability and Entire Agreement

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and DirectoryJuice Inc. regarding your use of this Site and supersedes all prior agreements or understandings.
